NP Employment Contract Red Flags for New Graduates

What Are NP Contract Red Flags?

A red flag appears when the agreement shifts money, time, clinical, or exit risk without giving you enough detail to calculate that risk. Examples include a bonus formula with no data-access right, “call as assigned” with no schedule, or a repayment duty tied to an undefined policy.

Request the full agreement, exhibits, compensation plan, handbook sections, malpractice documents, and referenced policies. Verbal promises should be written into the controlling document. Compare the offer with the NP residency or direct-hire framework if the role includes a training period.

How Do You Test Compensation, Call, and Productivity?

Write down the pay basis, work period, expected hours, pay dates, bonus eligibility, and every deduction or clawback. If productivity affects pay, identify the metric, threshold, crediting rules, data source, reconciliation date, audit access, and treatment of leave, orientation, and unfilled schedules.

What Should Malpractice and Tail Coverage Language State?

Ask for the carrier, policy form, limits, named insureds, covered locations and services, effective date, and any retroactive date. Also ask whether defense costs affect limits and who controls settlement decisions.

Do not assume every policy needs tail coverage or that the employer always pays. If the policy is claims-made, ask the insurer or broker whether extended reporting coverage applies, who purchases it, which exit events change responsibility, and what proof you receive. Save the policy or declarations page, not only a recruiter summary.

Is a Noncompete Automatically Illegal?

No. The FTC’s current Noncompete Rule page says the federal rule is not in effect and not enforceable. That does not answer what current state law does with your clause.

Map the restricted time, geography, services, patient groups, employers, nonsolicitation terms, notice duties, legal-fee language, and remedy. A state-licensed attorney should assess the wording and current law. Do not treat a recruiter statement or an internet template as that review.

What Do Termination and Repayment Clauses Expose?

Separate termination without cause, termination for cause, immediate suspension, notice, and any cure period. Record what happens to earned salary, bonuses, leave, benefits, malpractice duties, records access, credentialing, and scheduled patients.

For repayment, list each payment covered, such as a signing amount, relocation support, education funds, license fees, or recruiting costs. Capture the trigger, gross or net amount, proration, offset rights, payment deadline, interest, and exceptions. A repayment clause is not automatically valid or invalid. Its effect needs state-specific review.

Is a 1099 Label Enough to Make an NP an Independent Contractor?

No. The IRS common-law employee guidance evaluates behavioral control, financial control, and the parties’ relationship for federal tax classification. The label is one fact, not the answer.

Ask who controls schedule and methods, supplies equipment, bills patients, carries business expenses, provides benefits, and bears profit or loss. State tests may differ. The IRS also explains its Form SS-8 determination process, but filing decisions belong with qualified tax or legal advice.

Can an Employment Contract Define an NP’s Clinical Scope?

The contract can assign duties. It cannot expand legal authority, education, certification, competence, privileges, or payer approval. NCSBN’s Nurse Practice Act toolkit explains that each jurisdiction uses its nurse practice act and board rules to govern nursing practice.

Who Should Review an NP Employment Contract Before Signing?

Use a lawyer licensed in the state connected to the job and restriction, ideally with health care employment experience. Ask whether a second state’s law matters if the employer, patients, or restricted area crosses a border. Tax classification, malpractice coverage, board authority, and credentialing may need separate reviewers.

Independent review means the reviewer represents you, not the employer. Request enough time to receive written answers and revised language before signing.
